These Terms of Use (the "Terms") govern access to and use of the website reactive.network and any subdomains that link to these Terms (together, the "Website").
The Website is operated by PARSIQ TECHNOLOGIES PTE. LTD., a company incorporated in Singapore with Unique Entity Number (UEN) 202306664E and registered office at 178 Joo Chiat Road, #02-02, Singapore 427449, trading as Reactive Network ("Reactive Network", "we", "us").
By accessing or using the Website, the user confirms that they have read, understood and agreed to these Terms. If the user does not agree with any part of these Terms, the user must not use the Website.
We may provide separate terms for individual products, applications, programmes or services. Where separate terms apply, they prevail over these Terms in relation to the relevant product, application, programme or service.
// ELIGIBILITY
The user confirms that they are at least 18 years old or otherwise of legal age in their jurisdiction, have the legal capacity to enter into these Terms, and are not prohibited by applicable law from using the Website.
The user is responsible for determining whether their access to or use of the Website, the Reactive Network protocol or any digital asset referred to on the Website is lawful in their jurisdiction.

The Website presents information about the Reactive Network protocol, its ecosystem, developer programmes and related activities. Unless expressly stated otherwise in separate terms, the Website is provided for general informational purposes only.
We may change, suspend or discontinue any part of the Website, including any content or feature, at any time.
We do not undertake that information published on the Website will always be complete, accurate or current, and the user should not rely on it as the sole basis for any financial, legal, technical or other material decision.
// NO ADVICE AND NO OFFER
Nothing on the Website constitutes investment, financial, legal, tax or accounting advice, nor a recommendation to acquire, hold or dispose of any digital asset.
Nothing on the Website constitutes an offer to sell or a solicitation of an offer to buy any security, digital asset or financial instrument in any jurisdiction. References to digital assets, token functionality, ecosystem projects or potential use cases are descriptive only and do not constitute a promise of value, performance or future availability.
The user should obtain independent professional advice before taking any action in connection with the matters described on the Website.
// RISKS
Blockchain protocols, smart contracts, cross-chain systems and digital assets involve substantial risks. These include software defects, vulnerabilities, exploits, failures or forks of underlying networks, validator or infrastructure failures, congestion, transaction delays, inaccurate or unavailable third-party data, bridge or cross-chain messaging failures, changes in law, and loss of access to wallets or private keys.
Digital assets may be highly volatile and may lose some or all of their value. Transactions recorded on a blockchain are generally irreversible. We are not able to reverse, cancel or recover a blockchain transaction, restore access to a wallet, or retrieve a private key or seed phrase.
The user is responsible for reviewing the relevant code, documentation, transaction details, network conditions, fees and risks before interacting with a blockchain, smart contract, wallet, digital asset or third-party application. The user accepts those risks and bears responsibility for their decisions and actions.
// THE PROTOCOL AND SMART CONTRACTS
The Reactive Network protocol consists of software and smart contracts deployed on public blockchains. Interaction with the protocol may occur directly between the user and the relevant blockchain network and may not require the Website.
Unless expressly stated otherwise in separate terms, we do not take custody of the user's digital assets, control the user's wallet or private keys, execute transactions on the user's behalf, or act as the user's broker, adviser, fiduciary or agent.
The Website may provide an interface or links that make it easier to view information or interact with the protocol or third-party applications. Such an interface does not make us a party to a transaction between the user and a blockchain, smart contract or third party.
Protocol software and smart contracts are provided on an "as is" basis. Open-source software is governed by the licence accompanying the relevant code. The user is responsible for reviewing any code they deploy, integrate or interact with.
// ACCEPTABLE USE
The user agrees to use the Website only for lawful purposes and in accordance with these Terms. The user shall not:
- use the Website in violation of any applicable law or regulation, including applicable sanctions, anti-money laundering and counter-terrorist financing laws;
- use the Website from, or on behalf of a person in, a jurisdiction where such use is prohibited;
- attempt to gain unauthorised access to the Website or to any account, system or network connected with it, or interfere with its normal operation;
- introduce malware or other harmful code, probe or test vulnerabilities without authorisation, or use automated means in a manner that imposes an unreasonable load on our infrastructure;
- bypass or attempt to bypass access restrictions, rate limits or security measures;
- misrepresent an affiliation with us or use our names, logos, trademarks or branding in a manner that suggests an endorsement or relationship we have not authorised;

We may restrict or suspend access to the Website where reasonably necessary to protect the Website, users or third parties, comply with applicable law, or address a material breach of these Terms.

Open-source components of the protocol are governed by the licences accompanying them, which prevail over this section in respect of that software.

The Website contains links to websites, applications and services operated by third persons, including block explorers, wallets, exchanges and projects building on the protocol.
We do not control third-party services and are not responsible for their content, availability, security, products, terms or privacy practices. A link or reference does not constitute an endorsement. The user's use of a third-party service is governed by that third party's terms and is at the user's own risk.
// PRIVACY
Personal data collected through the Website is processed as described in our Privacy Policy. Our use of cookies and similar technologies is described in our Cookie Policy.
// DISCLAIMER OF WARRANTIES
The Website is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the extent permitted by applicable law.

We shall not be liable for losses resulting from blockchain transactions, smart-contract defects, network events, wallet compromise, loss of credentials, third-party conduct, regulatory changes or events outside our reasonable control.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms affects mandatory rights available to consumers under applicable law.
// INDEMNITY
To the extent permitted by applicable law, the user agrees to indemnify and hold us harmless from third-party claims, losses, liabilities and reasonable costs arising directly from the user's unlawful use of the Website, material breach of these Terms, or infringement of another person's rights.
This section does not require a consumer to indemnify us where such an obligation is prohibited or restricted by applicable consumer law.
// CHANGES TO THESE TERMS
We may amend these Terms at any time. The amended version takes effect upon publication on the Website, and the date of the latest amendment is stated at the top of this page.
The continued use of the Website after publication of the amended Terms constitutes acceptance of them. The user is advised to review these Terms periodically.
// GOVERNING LAW AND DISPUTES
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Singapore, without regard to conflict-of-law rules.
The parties shall first attempt to resolve any dispute in good faith. Subject to any mandatory right of a consumer to bring proceedings before another competent court, the courts of Singapore shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms.
// SEVERABILITY
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be applied to the extent permitted, and the remaining provisions shall remain in full force and effect.
